1. Acceptance of this Agreement

Termination of Account

4. Prohibited Uses

You agree not to engage in any of the following prohibited activities:

Violation of Laws: Violating any applicable laws, regulations, or contractual obligations.

Unsolicited Communications: Sending spam, junk mail, or unsolicited advertising.

Impersonation: Misrepresenting your affiliation with a person or entity.

Interference: Using any device, software, or routine that interferes with the proper working of the Services, including introducing viruses, Trojan horses, or worms.

Data Scraping: Using automatic devices (robots, spiders, scrapers) to strip or mine data from the Website, except for public search engines creating searchable indices.

Reverse Engineering: Attempting to obtain the source code or underlying information of the Services.

5. Terms of Sale and Subscriptions

If you purchase Services through the Website, the following terms apply:

Order Submission: Submitting an order creates an obligation to pay the price, taxes, and fees specified.

Subscriptions: Paid subscriptions begin on the day payment is received. To maintain subscriptions, you must pay the recurring fee.

Automatic Renewal: Subscriptions automatically renew unless canceled within the deadlines specified. You will receive a reminder of upcoming renewals where required by law.

6. Aireleader Messaging (SMS/MMS Terms)

By opting into our messaging program, you agree to the following terms:

Program Description

Aireleader Messaging sends SMS Notifications, Alerts & Occasional Marketing Communication to customers who have opted in to receive SMS notifications.

Cancellation

You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to [email protected].

Liability and Rates

Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.

7. Intellectual Property Rights

Ownership

You acknowledge that all intellectual property rights in the Services (including copyrights, trademarks, trade secrets, and patents) are owned by the Company or its licensors. Neither this Agreement nor your access to the Services transfers to you any right, title, or interest in such intellectual property.

License

The Company grants you a limited, non-exclusive, non-transferable, revocable license to use and access the Content for business or commercial use in accordance with this Agreement. You shall not copy, reproduce, modify, or create derivative works from the Content without express permission.

8. User Content

If the Services allow you to post or upload content ("User Content"), you are solely responsible for it. You grant the Company an irrevocable, royalty-free, worldwide license to use, display, and distribute your User Content in connection with the Services.

Content Standards

User Content must not be illegal, defamatory, abusive, strictly explicitly, fraudulent, or infringe on the intellectual property rights of others. We reserve the right to remove any User Content at our sole discretion.

9. Copyright Infringement (DMCA)

If you believe your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following:

A signature of the copyright owner/agent.

Description of the copyrighted work.

Description of where the infringing material is located.

Your contact information.

A statement of good faith belief that the use is unauthorized.

A statement that the information is accurate and you are the owner/agent.

10. Disclaimers and Limitation of Liability

No Warranty

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, IN NO EVENT SHALL 320 SOURCING LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING OUT OF YOUR USE OF THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE.

11. Indemnification

You agree to indemnify, defend, and hold harmless 320 SOURCING LLC and its officers, directors, and employees from any claims, liabilities, damages, and costs (including attorneys’ fees) arising out of your breach of this Agreement or your use of the Services.

12. Dispute Resolution

Governing Law

This Agreement is governed by the laws of the State of Wyoming, without giving effect to conflict of law principles.

Arbitration and Class Action Waiver

Any dispute arising out of this Agreement shall be submitted to binding arbitration under the rules of the American Arbitration Association in Wyoming. YOU AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

Time Limit

ANY CAUSE OF ACTION OR CLAIM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION AROSE.
